SERVICE TERMS AND CONDITIONS

General

This document is an electronic record under the Information Technology Act, 2000 and is published pursuant to Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

These Terms govern your use of the website https://www.gogripit.com/ and all browsing, purchasing, payment, delivery, return, and customer-support functions offered through it (“Platform”).

Your use of the Platform and all goods, services, features, and tools made available through it shall be governed by these Terms and Conditions (“Terms”), together with all policies incorporated into these Terms by reference.

By accessing, browsing, purchasing, or otherwise using the Platform, you acknowledge and agree that you are entering into a binding agreement with Cavitak Global Commerce Private Limited and that these Terms constitute your enforceable obligations.

For the purposes of these Terms, “You” or “User” means any natural or legal person who accesses or uses the Platform, whether or not such person creates an account. The terms “We”, “Us”, “Our”, “Gripit” refer to Cavitak Global Commerce Private Limited.

Accessing, browsing, purchasing, or continuing to use the Platform shall be deemed as your acceptance of these Terms, together with all applicable policies as may be updated from time to time.

Definitions
“Platform” means the website, application, and digital interfaces operated by Cavitak Global Commerce Private Limited.

“Products” means the goods made available for sale on the Platform, whether sold directly by the Company or by third-party sellers.

“Services” means order processing, payment facilitation, shipment, delivery coordination, returns, refunds, and related customer-support operations.

“User” means any natural or legal person who accesses or uses the Platform.
“Seller” means either the Company or a third-party entity listing Products for sale through the Platform.

“Order” means a purchase request placed through the Platform.

“Confirmation” means the communication issued by the Platform acknowledging acceptance of an Order.
Eligibility
Access to and use of the Platform, including the purchase of Products, is restricted to individuals who are competent to enter into legally binding contracts under applicable Indian law, including the Indian Contract Act, 1872. By using the Platform, you represent and warrant that you possess the legal capacity to contract.

Individuals below the age of eighteen (18) years may access or use the Platform only under the supervision and control of a parent or legal guardian. In such cases, the parent or legal guardian shall be deemed to have accepted these Terms on behalf of the minor and shall be responsible for all acts or omissions in connection with such use.

We reserve the right, at our sole discretion, to refuse access to the Platform, suspend or terminate any account, cancel Orders, or restrict any User’s use of the Platform if we have reasonable grounds to believe that such User is not legally competent to contract, has provided false or misleading information regarding age or identity, or is otherwise ineligible to use the Platform.
Your Account
You are responsible for maintaining the confidentiality of your login credentials and all activity carried out through your account. You shall ensure that all information you provide on the Platform is accurate, current, and complete. If any information is false, inaccurate, incomplete, or misleading, or if we reasonably believe that such information is not in accordance with these Terms, we may suspend, restrict, or terminate your access to the Platform without further notice.

Your registered mobile number and e-mail address function as your primary identifiers on the Platform. You are responsible for keeping these details updated. If your mobile number or e-mail address changes, you shall update it through the required verification process. Failure to update correct contact information may result in missed notifications, delivery failures, or disrupted Orders, for which we are not responsible.

If you permit any other person to access or use your account, you shall bear full responsibility for all actions arising from such use. Unauthorized access resulting from failure to safeguard your credentials shall be treated as your own act.

You must not share your username, password, or one-time passwords with any other person. Sharing or exposing login credentials constitutes a breach of these Terms.

You shall log out at the end of each session and notify us immediately of any suspected unauthorized account use or any breach of security. If we believe your account security is compromised, we may require a password change or suspend your account for as long as required. We are not liable for any loss arising from your failure to comply.

Your account provides access solely to the Platform. There is no shared login, identity linkage, or interoperability with any other company or platform unless explicitly permitted by us.
Platform Usage

You agree that your use of the Platform shall be governed by the following principles:
You shall not host, display, upload, modify, publish, transmit, update, or share any information that:

(a) belongs to another person and to which you do not have lawful rights;
(b) is harmful, harassing, defamatory, obscene, pornographic, paedophilic, invasive of privacy, hateful, discriminatory, threatening, abusive, or otherwise unlawful;
(c) is misleading, false, inaccurate, or deceptive;
(d) promotes racism, hatred, violence, or physical harm;
(e) harasses or encourages harassment of another person;
(f) involves unsolicited messages, spam, chain letters, or bulk communications;
(g) promotes illegal conduct;
(h) infringes intellectual property, privacy, publicity, or other proprietary rights;
(i) contains unauthorized copies of copyrighted material;
(j) contains hidden pages or password-protected content not intended for public access;
(k) exploits individuals in sexual, violent, or otherwise inappropriate manner;
(l) provides instructions for illegal activities including hacking or malware creation;
(m) includes images or videos of any person without lawful consent;
(n) attempts to gain unauthorized access to the Platform, accounts, data, or systems;
(o) conducts commercial activity without our written consent, including advertising, promotions, or solicitations;(p) involves gambling or activities illegal under Indian law;
(q) disrupts or interferes with another User’s access to the Platform;
(r) links to content violating these Terms or containing inappropriate or illegal material;
(s) harms minors;
(t) violates any applicable law;
(u) deceives or impersonates another person or misrepresents origin of information;
(v) contains malware, viruses, worms, trojans, or harmful code;
(w) threatens the unity, integrity, security, or sovereignty of India.
You shall not use automated tools such as scrapers, bots, spiders, or scripts to access or monitor the Platform.

You shall not test, breach, or interfere with Platform security measures.
You shall not reverse-engineer, decompile, tamper with, or modify any part of the Platform.

You shall not overload the Platform infrastructure.

You shall not forge headers, manipulate identifiers, or disguise the origin of communications.
You shall not impersonate any employee, seller, representative, or delivery agent.
You shall not use the Platform for fraudulent purposes, including false Orders, misuse of coupons, duplicate returns, or payment manipulation.

We may disclose information, including identity details, if required by law or necessary for investigation of suspected violations.

We may restrict, suspend, or terminate access for conduct violating these Terms or creating operational, legal, or security risks.

Intellectual Property

All rights, title, and interest in and to the Platform, including its design, structure, layout, user interface, text, graphics, images, icons, databases, software, logos, trademarks, service marks, and all other content (collectively, “Platform Content”), are owned by or validly licensed to Cavitak Global Commerce Private Limited and are protected under applicable intellectual property laws.

Access to or use of the Platform does not confer any rights, title, or interest in or to any Platform Content. No part of the Platform or its Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or otherwise exploited in any manner without the prior written consent of Cavitak Global Commerce Private Limited or the relevant rights holder, except as expressly permitted under these Terms.

Any unauthorized use of the Platform or its Content constitutes a violation of these Terms and may result in immediate suspension or termination of access, in addition to any civil or criminal remedies available under applicable law.
Product and Service Limitations

Products offered on the Platform are limited to goods displayed and available for sale. We do not provide repair services, diagnostics, technical servicing, manufacturer-level support, or any services not expressly identified as part of the sale, delivery, return, or replacement process. No verbal statements by employees or delivery personnel modify this limitation.
Platform Scope

The Platform operates as a technology interface that enables Users to browse, purchase, and pay for Products, and facilitates order processing, delivery coordination, returns, and customer support.

The Platform does not undertake or control the manufacture, design, or warranty servicing of any Product. For Products offered by third-party sellers, all obligations relating to quality, defects, conformity, warranty, and performance rest solely with the relevant seller or manufacturer, as applicable.

Unless expressly stated otherwise, the Platform does not act as an agent, representative, or authorised service provider of any manufacturer for the purposes of warranty, guarantees, or after-sales commitments.
Order Placement and Confirmation

The placement of an Order on the Platform constitutes an offer by the User to purchase the selected Product(s). Such Order shall be deemed accepted only upon issuance of an order confirmation by the Platform, whether by email, SMS, in-app notification, or any other form of communication (“Confirmation”).

The Platform reserves the right, at its sole discretion, to accept, reject, or cancel any Order prior to Confirmation, or thereafter in accordance with these Terms. Confirmation may be withheld, delayed, or revoked due to reasons including, but not limited to, unavailability of stock, payment authorization failures, suspected fraud, pricing errors, technical issues, or other operational constraints.

Any delivery timelines displayed on the Platform are indicative only and do not constitute a binding commitment. Actual delivery may vary due to logistics conditions, carrier delays, traffic, weather, demand fluctuations, or other factors beyond the Platform’s reasonable control.

Payment and Transaction Terms

While availing any of the payment methods made available by Cavitak Global Commerce Private Limited, we shall not be responsible for, and shall not assume any liability whatsoever in respect of, any loss or damage arising directly or indirectly out of or in connection with: (a) lack of authorization for any transaction; (b) exceeding any preset limits mutually agreed between you and the relevant banks or financial institutions; (c) any payment failure, delay, or disruption arising out of technical issues, system errors, banking network failures, or third-party service provider deficiencies; or (d) any decline, rejection, or non-processing of transactions for any reason whatsoever.

All payments for purchases or services facilitated by us shall be made exclusively in Indian Rupees (INR). We do not facilitate transactions in any other currency.

We reserve the right, prior to shipping or delivering any order, to request additional information or documentation, including but not limited to government-issued identification and address proof, for the purposes of verifying the legitimacy of the transaction, ownership of the payment instrument, or compliance with applicable laws. Failure to provide such documentation may result in cancellation or non-fulfilment of the order.

All transactions, transaction prices, and commercial terms including delivery, dispatch, and fulfilment of products and/or services are strictly on a principal-to-principal basis between the buyer and the seller. We merely provide a payment facilitation service and shall not be liable for any non-delivery, non-receipt, delay, damage, defect, breach of representations or warranties, failure of after-sales services, or any fraud in relation to products and/or services.

By using our payment facility, you expressly authorize us and our authorized service providers to collect, process, facilitate, hold, and remit payments and/or transaction amounts electronically or through permitted modes such as Cash on Delivery. We act solely as an independent contractor and not as a trustee, agent, or fiduciary with respect to such transactions or transaction amounts, and we do not assume control over or responsibility for the underlying products or services.

We do not guarantee the identity, authenticity, or performance of any user and do not ensure completion of any transaction by any party.
Buyer Obligations and Payment Facility Use

Upon initiating a transaction, you enter into a legally binding and enforceable agreement with the relevant seller and undertake to pay the full transaction price using the payment facility.

Dispatch and delivery timelines may be modified by mutual agreement between you and the seller, subject to applicable policies.

You shall promptly notify us of delivery or non-delivery within the prescribed timelines. Failure to notify within such timelines shall be deemed as confirmation of delivery, except in the case of Cash on Delivery transactions.

Your sole and exclusive remedy in case of non-delivery shall be to seek a refund in accordance with applicable policies, within the stipulated time. Failure to raise such claim within the prescribed time shall result in forfeiture of refund eligibility.

Refunds, where applicable, shall be processed in Indian Rupees and, except for Cash on Delivery transactions, shall be credited to the original payment instrument or through other permitted methods. For Cash on Delivery transactions, refunds shall be made through electronic transfer mechanisms. Refunds shall be subject to verification, compliance with policies, and may be withheld, reversed, or denied in cases of suspected misuse, fraud, or policy violations.

We reserve the absolute right to impose limits on transaction volumes or values, refuse or cancel transactions, or restrict payment methods for any user, including users with a history of disputes, chargebacks, or violations of applicable laws or policies.

We may conduct verification checks and may delay, suspend, or refuse processing of transactions or remittance of funds where transactions are flagged as suspicious, high-risk, or non-compliant. We may also withhold or transfer funds to law enforcement authorities where required under applicable law or pursuant to lawful requests.

We shall not be liable for any damages, losses, or claims arising from delay, non-processing, or failure of transactions due to factors beyond our control, including but not limited to incorrect payment details, banking failures, or regulatory actions.

You shall comply with all applicable laws, rules, and regulations, including but not limited to laws relating to foreign exchange, taxation, anti-money laundering, data protection, and financial transactions. Where required under applicable law, we may mandate submission of identification documents (including PAN) for transactions exceeding prescribed thresholds or for regulatory compliance. Failure to comply may result in cancellation of transactions or restriction of access.

All payment instruments, including credit cards, debit cards, net banking, and other authorized payment methods, are processed through regulated payment gateways and banking infrastructure and are subject to the terms and conditions of the respective issuing banks or financial institutions. We shall not be liable for any issues arising from such arrangements between you and such issuing institutions.

Rescheduling and Cancellation

Users may cancel an Order at any time prior to its dispatch. Once an Order has been dispatched, cancellation shall no longer be permitted and any request shall be governed by the applicable return and refund policy, including any deductions, charges, or conditions specified therein.

In the event that delivery cannot be completed due to reasons attributable to the User, including absence at the delivery location, incorrect or incomplete address details, or failure to respond to delivery attempts or communications, the Order may be cancelled or returned. In such cases, the Platform reserves the right to levy applicable charges, including shipping, handling, or re-delivery fees, and to process any refund subject to deductions as per the applicable policy.

Customer Responsibilities

You agree to provide complete, accurate, and up-to-date information for all Orders, including delivery address and contact details, and to ensure reasonable access to the delivery location for successful fulfilment.

You shall interact with all delivery personnel and customer support representatives in a lawful, respectful, and non-abusive manner. Any conduct that is threatening, discriminatory, harassing, or otherwise inappropriate shall constitute a breach of these Terms.

You are responsible for promptly inspecting Products at the time of delivery and for maintaining the condition of any Product intended to be returned, in accordance with the applicable return policy.

The Platform reserves the right to suspend or restrict access to the Platform, cancel Orders, or take any other appropriate action if a User is found to have engaged in fraudulent, abusive, unlawful, or otherwise improper conduct.

Delivery Personnel Responsibilities

Delivery personnel are authorised solely to deliver the Products associated with an Order. They are not authorised to install, assemble, repair, diagnose, service, alter, or modify any Product, unless such services are expressly offered on the Platform and have been duly selected and confirmed as part of the Order.

Delivery personnel reserve the right to refuse or discontinue delivery where, in their reasonable judgment, the circumstances at the delivery location are unsafe, threatening, unlawful, or otherwise unsuitable for completing the delivery. In such cases, the Order may be cancelled or rescheduled in accordance with applicable policies.

Delivery Conditions

Delivery can occur only if the address is reachable and safe, and the User or authorized recipient is available.

If delivery cannot proceed due to address inaccuracies, access restrictions, unsafe conditions, or absence of recipient, delivery may be rescheduled, delayed, or marked failed.

We are not liable for delays or inability to deliver arising from such conditions.

Indemnity
The User shall indemnify, defend, and hold harmless Cavitak Global Commerce Private Limited, its affiliates, directors, officers, employees, agents, contractors, and representatives from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses of any kind whatsoever (including reasonable attorneys’ fees and legal costs), whether direct or indirect, known or unknown, arising out of or in connection with: (a) any inaccurate, incomplete, or misleading information provided by the User; (b) the condition, safety, legality, or accessibility of any premises associated with the User; (c) any fraudulent, unauthorized, or unlawful Orders or transactions; (d) misuse or improper use of the Platform; (e) any breach or violation of these Terms or applicable laws and regulations; (f) infringement or violation of any intellectual property, privacy, or other rights of any third party; (g) any act or omission that results in harm, injury, loss, or damage to delivery personnel or any third party; or (h) any negligence, willful misconduct, or wrongful act or omission by the User or any person acting on its behalf. This indemnity obligation shall survive termination or suspension of the User’s access to or use of the Platform.

Disclaimer of Warranties and Liability

The Platform and all services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, error-free operation, or immunity from disruptions or harmful code.

We do not manufacture Products. We are not responsible for defects, malfunctions, performance issues, design flaws, or safety concerns, which remain with the manufacturer or seller.

We are not liable for delays, failed delivery, or incomplete Orders arising from inaccurate address details, recipient unavailability, access issues, or external conditions beyond our control.

We are not liable for indirect, incidental, punitive, or consequential damages.

Limitation of Liability

To the fullest extent permitted under applicable law, Cavitak Global Commerce Private Limited shall not be liable for any indirect, punitive, incidental, special, exemplary, or consequential damages, or any other damages whatsoever, including but not limited to damages for loss of use, loss of data, loss of profits, loss of goodwill, or business interruption, arising out of or in any way connected with:

the use of, or inability to use, any services, products, or systems made available by us;
any unauthorized access to, or alteration, disclosure, or loss of, your transmissions, data, or account information;
any breach of conditions, representations, or warranties by manufacturers, sellers, or third parties in relation to any products or services;
any failure, delay, interruption, suspension, or discontinuation of services, including during maintenance operations or due to unforeseen technical or external factors; or
any other matter relating to the use, performance, or operation of our services, systems, or infrastructure.

You acknowledge and agree that any material, content, or data downloaded or otherwise obtained through use of our services is accessed at your sole discretion and risk, and you shall be solely responsible for any damage to your device, systems, or loss of data resulting therefrom.

To the maximum extent permissible under applicable law, our aggregate liability, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total value of the products or services purchased by you in the transaction giving rise to the claim.

We shall not be liable for any disputes, claims, or disagreements between users, including but not limited to buyers and sellers, and you agree that any such disputes shall be resolved directly between the concerned parties without our involvement or liability.

Termination

Cavitak Global Commerce Private Limited may suspend or terminate your use of the Myntra or any Service if it believes, in its sole and absolute discretion that you have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these Terms of Service or anyway otherwise acted unethically. Notwithstanding anything in this clause, these Terms of Service will survive indefinitely unless and until Myntra chooses to terminate them.

If You or Cavitak Global Commerce Private Limited terminates your use of the Platform or any Service, Cavitak Global Commerce Private Limited may delete any content or other materials relating to your use of the Service and Cavitak Global Commerce Private Limited will have no liability to you or any third party for doing so. However, your transactions details may be preserved by Cavitak Global Commerce Private Limited for purposes of tax or regulatory compliance.

If You use any false e-mail address or use the portal for any unlawful and fraudulent purposes, which may cause annoyance and inconvenience and abuses any policy and rules of the company or mislead Cavitak Global Commerce Private Limited by sharing multiple address and phone numbers or transacting with malafide intentions then Cavitak Global Commerce Private Limited reserves the right to refuse access to the portal, terminate accounts including any linked accounts without notice to you

Data Collection, Processing, and Privacy

The Platform collects, stores, and processes personal data strictly for legitimate and lawful purposes necessary for the operation of its services. Such purposes include, but are not limited to, order processing and fulfilment, payment authorisation and settlement, fraud detection and prevention, delivery coordination, customer support, account management, and compliance with applicable legal and regulatory obligations.

By accessing or using the Platform, you expressly consent to the collection, use, storage, disclosure, and processing of your personal data in accordance with these Terms and the Platform’s Privacy Policy.

All personal data is handled in a manner consistent with applicable data protection laws, including the Digital Personal Data Protection Act, 2023. The Platform implements reasonable technical, administrative, and organisational safeguards to protect personal data against unauthorised access, disclosure, alteration, or destruction.

Personal data may be shared, where necessary, with third-party service providers, including payment gateways, logistics partners, and customer support vendors, strictly on a need-to-know basis and subject to appropriate contractual and confidentiality obligations.

Further details regarding the categories of data collected, purposes of processing, data retention, user rights, and grievance redressal mechanisms are set out in the Privacy Policy, which forms an integral part of these Terms.

Communications and Notifications

By accessing or using the Platform, you expressly consent to receive transactional and service-related communications from the Platform in connection with your use of its services. Such communications may include, without limitation, order confirmations, shipment and delivery updates, payment notifications, return and refund status, account-related alerts, and other operational messages.

These communications may be delivered through various channels, including SMS, telephone calls, email, WhatsApp, push notifications, or in-app messages, using the contact details provided by you.

You acknowledge and agree that such communications are essential for the performance of the Platform’s services and shall not be treated as unsolicited commercial communication.

Third-Party Services

The Platform may engage and rely upon independent third parties, including logistics providers, payment gateways, sellers, and other service partners, for the provision and facilitation of its services.

Such third parties operate independently and are not under the direct control or supervision of the Platform. Accordingly, the Platform does not warrant or assume responsibility for the performance, actions, omissions, delays, errors, or failures of any such third parties.

To the fullest extent permitted under applicable law, the Platform shall not be liable for any loss, damage, delay, or disruption arising from or attributable to third-party services or external factors beyond its reasonable control, including but not limited to weather conditions, traffic disruptions, network or system outages, labour issues, or operational constraints.

Grievance Redressal

A designated Grievance Officer is appointed for addressing concerns relating to Platform use, Orders, transactions, or data handling.

Entire Agreement

These Terms constitute the complete and exclusive agreement between the User and Cavitak Global Commerce Private Limited in relation to access to and use of the Platform and the purchase of Products, and supersede all prior or contemporaneous communications, representations, understandings, or agreements, whether oral or written.

No oral statements, representations, warranties, or assurances made by any employee, agent, or representative shall have any legal effect or be deemed to modify, vary, or supplement these Terms. Any modification or waiver of these Terms shall be valid only if made in writing and duly authorised by Cavitak Global Commerce Private Limited.

Jurisdictional issues/Sale in India

Unless otherwise specified, the material on the Platform is presented solely for the purpose of sale in India. Cavitak Global Commerce Private Limited makes no representation that materials in the Platform are appropriate or available for use in other locations/Countries other than India. Those who choose to access Platform from other locations/Countries other than India do so on their own initiative and Cavitak Global Commerce Private Limited is not responsible for supply of products/refund for the products ordered from other locations/Countries other than India, compliance with local laws, if and to the extent local laws are applicable

Governing law

These terms shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws principles and disputes arising in relation hereto shall be subject to the exclusive jurisdiction of courts, tribunals, fora, applicable authorities at Ahmedabad. The place of jurisdiction shall be exclusively in Ahmedabad.

Amendments

Cavitak Global Commerce Private Limited reserves the right to revise, update, or modify these Terms at any time, at its sole discretion.

Any such changes shall become effective immediately upon being published on the Platform, unless otherwise specified. Continued access to or use of the Platform following the publication of revised Terms shall constitute deemed acceptance of such changes

Security
The User shall not attempt to undermine or interfere with the security, integrity, or performance of the Platform. Any attempt to breach systems, access data without authorization, or disrupt operations may result in immediate termination of access and legal action.
